1. Definitions

"Agreement"

means these Terms together with any order confirmation or engagement documentation.

"Catalogue"

means the library of document templates made available by Vellum Atlas.

"Content"

means templates, usage notes, version information, and supporting materials in the Catalogue.

"Services"

means the Starter Template Pack, Enterprise Library Annual Subscription, and Tailored Template Drafting Workshop.

"User" / "you"

means the individual or organisation accessing the website or purchasing a Service.

"We" / "Us" / "Our"

means Vellum Atlas, 18/F, 33 Wyndham Street, Central, Hong Kong.

2. Acceptance of Terms

By accessing the website or purchasing any Service, you confirm that you:

• are at least 18 years of age or have obtained the consent of your parent or guardian;
• have the legal capacity to enter into a binding agreement; and
• agree to be bound by these Terms.

If you are accessing the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

4. Access Credentials and Account Security

Where we issue access credentials for a subscription, you are responsible for:

• keeping credentials confidential;
• ensuring that only registered seat holders use the account; and
• notifying us promptly if credentials are compromised.

We reserve the right to suspend access pending investigation if we detect unusual usage patterns.

5. User Responsibilities and Prohibited Conduct

You agree to use the Services only for lawful purposes consistent with these Terms. The following are prohibited:

• Reproducing or distributing templates from the Catalogue to persons outside your organisation without our written consent.
• Reselling, sublicensing, or otherwise commercially exploiting access to the Catalogue or its Content.
• Using templates as the basis for a competing template library or document drafting service.
• Removing or obscuring editorial credits, version codes, or jurisdiction labels from templates.
• Uploading harmful content or attempting to compromise the security of our systems.

6. Intellectual Property

All Content in the Catalogue, including template structures, usage notes, version documentation, and editorial commentary, is owned by or licensed to Vellum Atlas and is protected by copyright.

On purchasing a Service, we grant you a limited, non-exclusive, non-transferable licence to:

• download and adapt templates for your own internal business use; and
• retain adapted copies for your records after the subscription period ends.

This licence does not grant any right to reproduce or distribute unadapted templates outside your organisation, or to use the Vellum Atlas name, logo, or editorial materials for any commercial purpose.

7. Payment Terms

• All prices are stated in Hong Kong Dollars (HKD) and are inclusive of any applicable taxes unless otherwise stated.
• Payment for the Starter Pack and Workshop is due before access or engagement commences.
• Enterprise subscriptions are invoiced annually. Access is granted upon receipt of payment.
• Payments are processed via our payment provider. We do not store card details.

9. Limitation of Liability

To the maximum extent permitted by Hong Kong law:

• Our aggregate liability to you under or in connection with these Terms shall not exceed the amount paid by you for the relevant Service in the 12 months preceding the claim.
• We are not liable for indirect, consequential, special, or punitive losses, including lost profits, loss of data, or loss of business opportunity.
• We are not liable for losses arising from your reliance on templates without appropriate professional review, or from changes in law after the template version date.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Vellum Atlas and its personnel from any claims, losses, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your use of templates in a manner contrary to the licence granted in Section 6.

11. Termination

We may suspend or terminate your access if you breach these Terms. Termination does not affect any rights or obligations that have accrued before the termination date. On termination:

• your licence to access the Catalogue ceases immediately;
• you may retain adapted copies of templates already downloaded for your internal use; and
• Sections 6, 8, 9, 10, and 13 survive termination.

12. Changes to Terms

We may update these Terms from time to time. Changes will be indicated by a revised "Last Updated" date. We will provide reasonable notice of material changes by email to active subscribers. Continued access to the Services after the effective date of changes constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Hong Kong. Disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Before initiating formal proceedings, we encourage you to contact us at [email protected] to attempt informal resolution. We will endeavour to respond within 10 business days.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Vellum Atlas in relation to the Services and supersede any prior discussions or representations.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a business transfer.
